INTRODUCTION
The GROUP profile and mission:
IT FRAMES GROUP is a group of companies active in the design, manufacture and installation of custom-made furniture . The Group has later on developed a business diversification strategy, such us the touristic promotion and consultancy, and the supply of company services
The philosophy of IT FRAMES GROUP is based on the concepts of functionality, precision, flexibility and care for details; such a combination has always been the centre of our attention, representing the essence of all the operational and strategic choices of the Group.
The mission of IT FRAMES GROUP is:
"To consolidate the tailored image in each of the sectors and in each of the countries in which the Group operates; to create a community that shares a positive and responsible vision in which the artisan passion is blended with innovative procedures and technology, to respond with creativity and flexibility to the most specific customer requests".
Strategies:
The strategy we want to follow is to link all the companies and partner businesses to a
GROUP shared identity and image and to make stronger the idea of unity and membership of a single "big family" thus allowing us to develop homogenous relationships both in Italy and abroad.
Such a target can be achieved through the process integration and the resource coordination. In order to obtain a strong and sustainable success the customer must perceive the idea of excellence and quality as an essential element of his/her relationship with the GROUP.
This is only possible with the transfer to customers, suppliers and competitors of the highest value:
performance without defects.
Objectives:
Creating value – IT Frames Group contributes to the development of the economy of the countries in which it operates favoring the employment of local workforce and the purchase of local material
Public and Social Responsibility – IT FRAMES GROUP is fully responsible towards the country where it is active and accepts the social duty to pay taxes, save energy, protect the environment and be a good citizen. The GROUP can advise the governing and training bodies as for its areas of experience in terms of rules and regulations. Furthermore, the Group is actively committed in concrete social initiatives.
Environment protection, health and safety – IT Frames Group is inspired by the principle of environmental preservation and by the valuing of natural resources. Safety and hygienic conditions in the workplace constitute an important commitment for the Group.
It is very important for the GROUP having employees and collaborators being satisfied with the achievement of their targets and aware of the common benefits deriving from working in an environment featured by competence, integrity, cordiality, respect and team working. In order to reach these goals and to meet the coordination needs of the procedures, the Board of Directors and the whole management of IT FRAMES GROUP decided to capture our values and principles in this Ethical Code.
This "code" is therefore aimed at defining the essential values and policies that the Group distinguishes, accepts and shares.
This important document establishes the fundamental guidelines and the behavior standards for all who works inside and/or in behalf of the Group, maintaining a relationship with actual or potential customers, colleagues, partners, suppliers, public authorities and opinion leaders.
Values:
The ability to listen – It’s a style, a way of being, a daily behavior based on availability, responsiveness and flexibility.
Team spirit – Working together with the same goal, to reach a target in the best possible way and to create a sense of belonging based on solid and concrete values.
Desire for innovation – A bit of healthy curiosity to experiment with anything that constitutes novelty; taking the initiative and questioning themselves in order to progress, because the success of IT Frames Group is based on the progress of each individual
ETHICAL CODE GUIDELINES – IT FRAMES GROUP
Recipients: This Ethical Code applies to the managers, collaborators, partners, employees and to the rest of the legal or physical subjects that operate on behalf of IT FRAMES GROUP.
Consultation Modality: This Ethical Code will be handed in to all interested people and it will be available through the company Intranet. Furthermore, it will be published in the Group’s website:

MAIN PRINCIPLES AND GENERAL DISPOSITIONS
Ethical Principles:
Loyalty – Reciprocal trust among the IT Frames Group, the customers, the collaborators and the stakeholders is the fundamental element for the operation of the entire organization.
Respect – People are the heart of IT Frames Group. Whatever the race, origin, age, sex, religion; all collaborators have equal opportunities on equal terms.
Transparency – IT Frames Group condemns all actions that are not based on honesty, integrity and equality. Customers, collaborators, suppliers and stakeholders are encouraged to be aware of and adopt this attitude.
The GROUP considers the customer satisfaction a success unit of measure and it is therefore a common responsibility to interact with customers and suppliers in order to reach this target. IT FRAMES GROUP expects all employees and collaborators to be totally dedicated to supply customers with products and services of quality and excellence, professing the principles of punctuality, availability, precision and professionalism.
The basic condition is that if we all work together encouraging the team spirit and sharing our experiences, we will for sure achieve the expected results with benefits for everyone. Such benefits are not only economic but, much more important, are benefits leading to create a familiar working environment, featured by confidence and availability towards the other team members.
We are aware that the respect towards the others, the sense of equity, the coherence, the sense of individual and group responsibility and the respect of our commitments strongly contribute to the creation of the company’s culture and image and constitute a competitive advantage for the achievement of the GROUP’s objectives.
Conflict of Interests:
When carrying out its activities, IT FRAMES GROUP operates to avoid incurring in real or potential situations of
conflict of interest. Among the hypothesis of conflict of interest we consider the case in which one of the recipients of the present code promotes, within the working environment, the satisfaction of interest that are different from the ones of the GROUP or from its stakeholders, aiming at obtaining a personal advantage.
All managers, employees and collaborators must avoid taking advantage or personal profits while representing IT FRAMES GROUP. All transactions with suppliers, contractors and customers must be conducted remembering that the interests of IT FRAMES GROUP are of primary importance.
All recipients of this code must inform its responsible without delay the situations in which they might be holders of a conflict of interest.
Internal and external Communication:
Communication with the public, must be managed by the personal expressly proponed. IT FRAMES GROUP commits not to create wrong impressions neither supply false or tendentious information.
Communication, internal or external of the GROUP, must be clear, complete and authentic.
Accounting and financial entries:
The accounting and financial entries of each single company of IT FRAMES GROUP must be sound and accurate. All employees and collaborators processing this kind of information will be held responsible for the integrity of the information itself.
The detection of unclear items or situations, omissions, falsifications, inaccuracies or illegal entries must be immediately reported to the Controller of the involved seat or to the C.F.O of IT FRAMES GROUP.
Internal control:
T FRAMES GROUP considers that an important aspect of the organizational culture of the company is an adequate and healthy environment of control. Its last purpose is improving the efficiency and effectiveness of the company’s relationships and make the staff more aware of the responsibility of their own commitments.
FINAL DISPOSITIONS
Internal sanctions:
Any transgression of the rules of conduct expressed within the present Code of Ethics will be object of disciplinary sanctions, calibrated according to the gravity of the fact and to the damage provoked.
Approval and Updating:
This Code of Ethics is approved by the Board of Directors of the companies of IT FRAMES GROUP.
The current dispositions apply to all companies of IT FRAMES GROUP, respecting their decisional autonomy of their own managerial boards.
Any modification and/or integration made to this Code of Ethics must be approved by the Board of Directors and promptly diffuse to all interested people in the corresponding time and manner.
